General

    1. PRICES: All prices are firm unless otherwise agreed to in writing by Energizer. Energizer will not reimburse Seller for any expenses or costs unless specifically stated in a Purchase Order (“PO”). Seller will bear sole responsibility for payment of all applicable income or employment tax or withholding arising from its performance of its obligations under a PO and agrees to indemnify and hold harmless Energizer with respect to all such items, including reasonable attorneys’ fees. If Energizer is required, pursuant to any applicable present or future law, rule or regulation to make a withholding in respect of tax or otherwise from any amount or amounts payable to Seller pursuant to a PO, Energizer shall pay any amounts net of such withholding.
    2. INVOICES:
      1. Unless otherwise requested by Energizer, invoices shall (i) be rendered separately for each delivery; (ii) cover not more than one PO; and (iii) be rendered with the PO number noted thereon. Unless otherwise agreed in writing by Energizer, and approved by a representative of Energizer’s procurement team (prior to the PO being issued), Energizer shall pay Seller’s undisputed invoice within sixty (60) days of receipt of such invoice. Seller shall not (iv) invoice Energizer more than ninety (90) days after Seller’s performance under the PO is completed (such late invoice is referred to herein as a “Late Invoice”), (v) initially raise a claim for payment of a previously issued invoice more than 365 days after the invoice date (such late claim is referred to herein as a “Late Claim”), or (vi) invoice before Seller’s performance under the PO is completed. Seller waives all rights and remedies related to Late Invoices and Late Claims.
      2. If the payment due date of an invoice does not fall on a Business Day, payment shall become due on the Business Day following the due date. “Business Day” means any day except Saturday, Sunday or any other day on which commercial banks are authorized or required by law to be closed for business located where Seller will perform its obligations under a PO.
      3. Invoices must be emailed to the Energizer invoice email address which will be quoted on the relevant PO or provided by the service or goods requestor.
    3. INTELLECTUAL PROPERTY:
      1. “Intellectual Property” means copyrights (including rights in computer software and typography rights), patents, trademarks, domain names, rights in designs, databases, operating systems and specifications (both registered and unregistered) and any applications to register any of the foregoing, rights in inventions (whether patentable or not), know-how, trade secrets and other confidential information and all corresponding rights of a similar nature anywhere in the world.
      2. Seller shall defend, protect and indemnify Energizer from and against any lawsuit, claim, demand, investigation, governmental action, damage, settlement, penalty, order, judgment, liability, cost and expense (including attorney’s fees) (“Losses”) arising from or related to infringement or alleged infringement by any of the goods or services delivered hereunder of any Intellectual Property right of a third party. In the event that Energizer is enjoined from using the goods or services delivered hereunder, Seller, at its expense, shall promptly either (i) procure for Energizer the right to continue using the goods or services, (ii) replace the goods with non-infringing goods or services or modify same to become non-infringing, all at Seller’s expense and to Energizer’s satisfaction, or (iii) remove the goods at Seller’s expense and refund the purchase price to Energizer.
      3. Subject to the rights of Seller and/or any third party licensors in respect of any pre-existing materials which are supplied by Seller in conjunction with the goods or services delivered hereunder (“Project Materials”) (which shall remain unaffected), Energizer shall be entitled to all Intellectual Property rights in the Project Materials, which Intellectual Property rights Seller shall assign, with full title guarantee, to Energizer immediately upon creation. Seller shall do all such things and sign all documents or instruments reasonably necessary to enable Energizer to obtain, defend and enforce its rights in the Project Materials.
      4. All Intellectual Property rights in any materials provided by Energizer (“Energizer Materials”) to Seller in connection with the goods or services vest in and remain vested in Energizer or its licensors. Upon Energizer’s request and in any event upon the expiry or termination of the PO, Seller shall at its expense promptly deliver to Energizer all copies of Project Materials and Energizer Materials then in Seller’s custody, control or possession.
      5. This Section 3 shall survive the termination or expiry of the PO.
    4. INSTALLATION AND WORK: In the event that any of the goods or services require, in connection with the installation thereof or work thereon, the services of a supervisor, expert or other person connected with or employed by Seller, and Seller agrees to furnish the same, either with or without charge, such supervisor, expert or other person in performing such services shall not be deemed to be the agent or employee of Energizer, and Seller assumes full responsibility for his acts and omissions and exclusive liability for any payroll taxes or contributions imposed by any applicable federal, provincial, state or local law. Seller shall obtain all necessary permits and licenses, and shall comply with the applicable provisions of any federal, provincial, state, or local laws or ordinance, and all orders rules, and regulations, issued hereunder, and any provisions, representations or agreements, or contractual clauses required to be included or incorporated by reference or operation of law in the contract resulting from acceptance of a PO, and applicable to the goods or services, to labour employed on the goods or services and to preservation of the public health and safety including, but not limited to, regulations and orders relating to Seller’s certification of no segregated facilities.
    5. INSURANCE: Seller shall, at its expense, carry and maintain such liability insurance as will protect Seller and Energizer from claims under any workmen’s compensation acts and from any other damages from personal injury, including death, which may be sustained by Seller’s workmen, subcontractors or any of their servants, agents or employees and the general public, and from claims for property damage which may be sustained by any of them, due to the performance of a PO. Seller shall furnish certificates acceptable to the Energizer that Seller has in effect the following insurance. At the request of Energizer, Seller shall provide Energizer with no less than fifteen (15) days advance notice of cancellation or material change in said coverage:(1) Workers’ Compensation Insurance required by the laws of the state and/or country in which the Seller’s main office is domiciled, and any other state(s) and/or country(ies) where services or Work will be performed under a PO; (2) Commercial General Liability Insurance as is reasonable and customary or otherwise required by law in the state(s) and/or country(ies) in which the services or Work will be performed under a PO, including bodily injury, property damage, personal injury liability and contractual liability covering all operations of Seller.
    6. INDEMNITY: Seller agrees to protect, defend, indemnify, assume any liability and hold harmless Energizer, its agents, employees, subsidiaries, affiliates, successors and assigns from and against any Losses of every character whatsoever, including bodily injury, sickness, disease and/or death sustained by any person (including, but not limited to, employees of Energizer, of Seller or of a subcontractor) which are in any way connected with performance of a PO.
    7. FORCE MAJEURE: Neither party hereto shall be liable to the other for default or delay in performing its obligations hereunder if caused by an act of God (including but not limited to: flood, tornado, hurricane, earthquake), fire, explosion, riot or other civil unrest, war, terrorist threats or acts, governmental order or regulation or national or regional emergency in effect after the date of a PO (each, a “Force Majeure Event”). Should a Force Majeure Event occur, the impacted party shall notify the other party, giving notice of the anticipated number of days the Force Majeure Event is expected to continue. Notwithstanding such notice, Seller shall not be excused from performance of its obligations under a PO until it has utilised its best efforts to perform its obligations, including, but not limited to, utilization of its world-wide facilities, total capacity of its facilities and employee overtime. Except as otherwise provided in the PO, Energizer will be assured a first priority and disproportionate bulk share of available Products or Services (percentage to be agreed upon between Energizer and Seller based on market conditions and opportunity assessment). In the event Seller cannot supply sufficient Products or Services to meet Energizer’s requirements hereunder on account of a Force Majeure Event, Energizer shall be released from any obligation hereunder to purchase Products or Services from Seller while such Force Majeure Event continues. Notwithstanding the above, in the event the impacted party’s inability to perform its obligations continues for more than three (3) months or is projected to continue for three (3) months or more after notification of the Force Majeure Event, the other party’s shall have the right, in its sole discretion, to terminate its obligations under a PO, including those for any outstanding POs, upon prompt written notice, without penalty for such termination. No payment shall be made by Energizer to Seller for any expenses incurred by Seller by reason of such default or delay.
    8. DRAWINGS AND OTHER ITEMS: Unless otherwise expressly provided in a PO, all drawings, blueprints, dies, patterns, tools, printing plates, equipment, materials and other items used in connection with the manufacture of the goods or provision of services hereunder, which are furnished to Seller by Energizer or prepared or constructed by Seller pursuant to the terms of a PO, shall be and remain the property of Energizer, and upon completion of deliveries of the goods or services hereunder, or upon termination of a PO, shall be delivered to Energizer in the same condition as originally received by Seller, reasonable wear and tear excepted. Such property and, whenever practical, each individual item thereof shall be plainly marked or otherwise adequately identified by Seller as property of Energizer and shall be safely stored separate and apart from Seller’s property. Seller shall not substitute any property for Energizer’s property and shall not use such property except in filling Energizer’s POs. Such property while in Seller’s custody or control shall be held at Seller’s risk, shall be kept insured by Seller at Seller’s expense in an amount equal to the replacement cost with loss payable to Energizer. Seller shall not copy or otherwise duplicate such property in any manner without Energizer’s prior written consent. No information relating to a PO shall be released other than to Seller’s employees immediately concerned with the work hereunder without the advance written approval of Energizer.
    9. COMPLIANCE WITH LAWS – SUPPLIER CODE OF CONDUCT.
      1. Regional Law Compliance. Seller must comply with all regional and local laws and regulations including, but not limited to applicable labour, health, safety, environmental related laws, rules, ordinances and regulations, and all laws applicable to the manufacture, assembly, sale, storage, disposal, shipment, packaging and labeling of the goods, services or Work, to labour employed on the Work and to preservation of the public health and safety. Seller shall indemnify and save harmless Energizer and party having an interest in a site where any portion of the work is being performed and against all liability with respect to penalties and/or interest that may result from non-compliance with any such laws, ordinances and governmental rules, regulations and orders. Delivery of goods or completion of services will be deemed to be Seller’s certification that such goods and its manufacture or services comply with all applicable laws.
      2. Supplier Code of Conduct. Seller shall comply with the Supplier Code of Conduct (“SCOC”) established by Energizer a copy of which can be viewed here. For any conflict in terms between the SCOC and these Terms, the terms of the SCOC will govern. From time to time, Energizer may adopt a new SCOC or amend the terms of its standard form SCOC and it shall be Seller’s responsibility to ensure compliance with the then-current SCOC.
      3. Seller agrees to comply with the applicable provisions of any federal, provincial, state or local laws or ordinances and all orders, rules and regulations issued thereunder, and any provisions, representations or agreements, or contractual clauses required to be included or incorporated by reference or operation of law in a PO resulting from acceptance of a PO.
      4. Goods. Seller warrants that each chemical substance constituting or contained in goods sold or otherwise transferred to Energizer complies with the requirements set forth in any applicable state or regional laws governing chemical substances.
      5. [“Energizer”] is an equal opportunity employer and federal contractor or subcontractor.  Consequently, the parties agree that, as applicable, they will abide by the requirements of  41 CFR 60-300.5(a) and 41 CFR 60-741.5(a) and that these laws are incorporated herein by reference.  These regulations prohibit discrimination against, and require action to advance the employment interests of, qualified individuals based on their status as protected veterans or individuals with disabilities.   The parties also agree that, as applicable, they will abide by the requirements of Executive Order 13496 (29 CFR Part 471, Appendix A to Subpart A), relating to the notice of employee rights under federal labor laws.
    10. SET-OFF: Energizer shall be entitled at all times to set-off any amounts owing at any time from Seller to Energizer against any amount payable at any time by Energizer to Seller. This right is in addition to any other remedies set forth in a PO or available by law.
    11. TERMINATION: If either party (a) ceases to conduct its operations in the normal course of business (including inability to meet its obligations as they mature) or if any proceeding under the bankruptcy or insolvency laws is brought by or against a party, or a receiver or administrator is appointed or applied for, or an assignment for the benefit of creditors is made by a party (whether voluntary or involuntary) or (b) breaches any term of a PO, the other party may terminate a PO without liability except for deliveries previously made or for goods or services covered by a PO which are completed as of the date of termination and subsequently delivered in accordance with the Terms of a PO.
    12. ASSIGNMENT AND SUBCONTRACTING: Any assignment or transfer of a PO by Seller without the prior written consent of Energizer shall be void. Seller shall not subcontract nor delegate performance of all or any substantial part of the work called for under a PO without the prior written consent of Energizer. Seller shall not enter into any subcontract unless the terms thereof with respect to compensation to be paid to subcontractor under such subcontract (including compensation on termination) are first approved by Energizer. Energizer may assign or transfer all of its rights or obligations under a PO at any time.
    13. REMEDIES: The rights and remedies of Energizer set forth in a PO are not exclusive and are in addition to all other rights and remedies implied by statute or available at law or in equity.
    14. GOVERNING LAW: The validity, interpretation and performance of a PO shall be governed by the law of the state and/or country in which a PO is issued by Energizer; provided, however, that if the place of issue is unclear, the law of the state and/or country in which the goods are received by Energizer or the Work/Services is performed by Seller will control. For the avoidance of doubt, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
    15. MISCELLANEOUS: If a PO constitutes an offer, Seller’s acceptance of such PO is hereby expressly limited to the Terms of such PO (and any other additional terms and conditions set forth in any agreement between Seller and Energizer (if applicable), provided, however, that if the terms of such agreement conflict with the terms of such PO, the terms of the agreement shall control) and shipment of any part of the goods or performance of the Work/Services covered hereunder shall be deemed to constitute such acceptance. If a PO constitutes an acceptance of an offer, such acceptance is expressly made conditional of Seller’s assent to the Terms of such PO and shipment of any part of the goods or performance of the Work/Services covered hereunder shall be deemed to constitute such assent. A PO constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and there are no oral understandings, representations or warranties affecting it; provided, however, in the event of any conflict, the order of precedence shall be as follows in resolving such conflict: the terms of any Master Supply or Service Agreement, and its exhibits if applicable; a PO; the Work Releases or SOW; the Specifications and the Drawings. Neither course of performance nor course of dealing nor usage of trade shall be used to interpret, construe, qualify, explain or supplement any of the Terms of a PO. A PO shall not be amended except in writing signed by the parties hereto. No waiver by either party of any breach of any of the Terms of a PO to be performed by the other party shall be construed as a waiver of any subsequent breach, whether of the same or of any other Term of a PO. The relationship between the parties is that of independent contractors. Nothing contained in a PO shall be construed as creating any agency, partnership, joint venture, employment or other relationship between the parties and neither shall have the authority to contract for or bind the other party in any manner whatsoever.
    16. LABOUR UTILISED: Seller certifies that convict, forced or indenture labour under penal sanctions was not employed by it or any of Seller’s suppliers in any stage of the mining, production or manufacture of the merchandise purchased or of the Work/Services performed hereunder.
    17. CONFIDENTIALITY. Seller understands and acknowledges that all information and knowledge provided by Energizer in writing, orally or which the Seller is put within visual contact, (including, but not limited to, the manufacture of products, the design of machines and equipment and the processes and practices employed by Energizer, or the work performed by Seller) in connection with the PO is the confidential and proprietary information and property of Energizer, disclosure of which may jeopardize Energizer’s ability to remain competitive in the marketplace. Accordingly, Seller acknowledges and agrees (i) to keep such information secret and confidential and, accordingly, not to disclose any information learned by Seller in connection with a PO to any third party, (ii) to use the same only as required to satisfy its obligations in connection with the PO, and (iii) that, in addition to any other remedies that may be available, Energizer may seek and obtain injunctive relief against any breach without prejudice to any other remedies that may be available and without any requirement to post bond.
    18. RECORDS AND BOOKS OF ACCOUNTS: Seller agrees to keep, and to cause its subcontractors to keep, their proper records and books of account showing all data necessary for determining the costs, amounts and charges earned under a PO, in such detail as is requested by Energizer and such records and books of account shall be open to audit by a representative of Energizer at all reasonable times during the performance of the Work/Services or prior to the delivery of goods and for a period of eighteen (18) months after the expiration or sooner termination of a PO.
    19. ADDITIONAL COUNTRY SPECIFIC TERMS: If applicable additional country specific terms are available under the country headings below and incorporated by this reference.

      Additional Terms For Purchases Of Goods

    20. QUALITY: Seller warrants that the goods will conform to description and specifications and will be free from defects in material, workmanship and design (other than Energizer’s design). Energizer shall have the right to test and inspect the goods before acceptance. Notwithstanding any such testing or inspection, if any of the goods are found at any time to be defective in material, workmanship or design, or not in conformity with the description, specifications or other requirements of a PO (collectively, “Defect”), Energizer shall have the right to reject and return such goods at Seller’s expense. Seller shall pay Energizer’s cost of inspecting the rejected goods. For purchases of machinery or equipment, Seller at its expense shall repair or replace, as requested by Energizer, machinery or equipment proven to have a Defect as long as such Defect is reported by Energizer to Seller by the earlier of either (a) one (1) year from the date the machinery or equipment is placed in operation or (b) eighteen (18) months from date of shipment of the machinery or equipment by Seller to Energizer.
    21. QUANTITY: Unless otherwise agreed to in writing, no variation in the quantities specified in a PO will be accepted. Energizer may return goods shipped in excess of the quantity designated in a PO at Seller’s expense.
    22. TRANSPORTATION: Transportation of goods purchased will be pursuant to the Incoterm set forth in the PO. If not specified on the face of the PO, terms shall be FCA Energizer’s carrier (Incoterms 2020). No premium transportation or insurance cost will be allowed unless authorized in writing. Title and risk of loss shall pass pursuant to the delivery term set forth on the face of the PO, or if not specified on the face of the PO, then the Incoterms set forth in this Section 22.
    23. DELIVERY: Delivery of goods under a PO will constitute a certification by Seller that such goods comply with all applicable packaging laws and labeling laws. The goods shall be properly packaged for shipment. Each package shall be numbered and labeled with Energizer’s PO number, stock number, contents and weight, and shall contain an itemized packing slip. No charges of any kind, including charges for packing, boxing, crating, freight express or cartage, are allowed unless agreed to by Energizer in writing. TIME IS OF THE ESSENCE HEREOF. If any goods are not delivered within the time specified in a PO, or within a reasonable time if no time is specified, Energizer may either (a) refuse to accept such goods and terminate a PO, or (b) cause Seller to ship the goods by the most expeditious means of transportation whereupon any additional transportation charges in excess of those for the usual means of transportation shall be for the account of Seller. Price is to cover net weight of material, unless otherwise agreed.
    24. CHEMICAL PURCHASES: Seller shall disclose to Energizer whether, to the best of Seller’s knowledge, the item being purchased is subject to any import or export controls. Seller shall provide to Energizer, prior to shipment, a complete, true and accurate Material Safety Data Sheet (MSDS) for each chemical purchased hereunder. Seller shall promptly update or revise an MSDS upon receipt of any information indicating an MSDS is no longer complete, true and/or accurate. If Seller updates or revises an MSDS previously sent to Energizer, Seller shall promptly send to Energizer the updated or revised MSDS.

      Additional Terms For Purchases Of Services

    25. INDEMNITY: In addition to the indemnification in the General section, Seller agrees to protect, defend, indemnify, assume any liability and hold harmless Energizer, its agents, employees, subsidiaries, affiliates, successors and assigns from and against any Losses arising out of the Work or the performance of or failure to perform the Work, or with the presence of such person on the premises of Energizer or the site of the Work, in connection with the Work arising out of Seller’s negligence, intentional misconduct or breach of a warranty or representation contained in these Terms. In the event that this Order provides for the Work to be performed on property owned or controlled by any party or parties other than Energizer, then the aforesaid obligation to defend, indemnify and hold harmless shall be expanded to include such party or parties, their employees and agents. Seller shall be responsible for, and hereby assumes all liability for, loss or damage of, or damage to, all tools, machinery, equipment and appliances owned by Seller, or loaned or leased to Seller by other than Energizer, and all personal property of Seller’s employees. To the extent valid and enforceable under applicable law, the aforesaid relief from responsibility and liability shall include loss, destruction or damage caused by, arising out of or in any way connected with the negligence, in whole or in part, of Energizer, any party owning or controlling property on which any portion of the Work is being performed or any of their employees, agents or subsidiaries. This provision will survive any termination of a PO.
    26. WORK: Upon the Terms herein contained, Energizer hereby orders, and Seller, as an independent contractor, hereby agrees to perform and complete, all the work described in the PO or, if no PO is completed, in the work releases submitted to Seller by Energizer’s Authorized Representative designated for the PO period specified (said work being hereafter called “Work”). Unless otherwise specified in a PO, Seller shall furnish all labour, materials, tools, machinery, equipment, appliances, shoring, scaffolding, false work, transportation and all other things necessary for the performance of the Work. Details of a PO, including description of the Work, start and completion dates, drawings and specifications, employee categories and rates and site of the Work are listed below, on the facing page or a supplemental document provided by Energizer. Seller acknowledges and agrees that time is of the essence with respect to Seller’s obligations and that prompt and timely performance is strictly required.
    27. SELLER’S EXAMINATION: Seller will be held to have examined the Specifications and the Drawings relating to each Work Release and the site of the portion of the Work covered by said Work Release before commencing any work under said Work Release, and to be satisfied as to the conditions under which Seller will be obligated to operate in performing said portion of the Work, including but not limited to above ground obstructions, the character and nature of said portion of the Work, safety regulations and all other considerations which may affect said portion of the Work in any manner. No additional compensation shall be paid to Seller, nor will any extension of time be granted, for any of these considerations.
    28. OVERTIME: “Overtime Work” shall, unless otherwise defined in a PO, be all labour hours worked per man which are required, by applicable custom of the trade, union contract or law, to be paid at a premium hourly rate which is not less than time and one half of basic straight time hourly rate for the work performed. Seller shall not perform any Overtime Work unless such Overtime Work is requested or authorized by Energizer in writing, or is required by the nature of the Work and Seller shall perform all overtime work so requested or authorized by Energizer in writing. Energizer shall pay Seller for such Overtime Work in accordance with the provisions of a PO for determining amounts for Overtime Work. The Seller shall pay the relevant overtime compensation to its workers in accordance with the applicable law.
    29. WARRANTIES: Seller warrants that all materials and equipment incorporated into the results of the Work (except materials and equipment provided by Energizer) and every portion of the Work shall conform to the terms of a PO, the applicable Work Release and the Specifications and the Drawings, shall be of the best quality, shall be fit for the particular purpose for which they are required and shall be free of all defects in materials and workmanship until the expiration of one (1) year after completion of the portion of the Work covered by the Work Release to which such materials, equipment or portion of the Work relates.
    30. TITLE: Title to each item of material and equipment which is furnished for incorporation into the results of the Work and which is not already owned by Energizer shall pass to Energizer upon the delivery of item to the site of Work.
    31. LIENS: Seller shall indemnify and save harmless Energizer and any party having interest in a site where any portion of the work is to be performed from labourers’, mechanics’ and material men’s liens and all other liens and charges upon the Work, arising out of work performed and/or materials or equipment furnished by Seller or by a vendor or subcontractor hereunder.
    32. WASTE AND OTHER MATERIALS: Seller shall not allow waste materials or rubbish to accumulate in or about the site of the Work, but shall remove the same from Energizer’s property promptly, and in accordance with all applicable laws, rules and regulations. Seller shall, at its expense, appropriately shelter and secure materials remaining outside during the performance of the Work so as to prevent any release or discharge to the environment.
    33. CHANGES: Energizer may, by giving written notice to Seller from time to time, make changes in the Specifications and/or the Drawings, issue additional instructions, require additional work or direct the omissions of work, without invalidating a PO and Seller shall comply with such notice. Energizer shall pay Seller for the changes resulting from said notice in accordance with the provisions of a PO for determining amounts, costs and charges. No additional work will be paid for by Energizer unless performed in accordance with a written notice of Energizer.
    34. SAFETY: Seller shall comply with, and shall cause its employees and all subcontractors to abide by, all health, safety, and security rules and regulations in force at the site of the Work. Seller understands that the authorization implied in the release of a PO is only authorized upon the condition that Seller has read, signed and completed all forms and paperwork including, but not limited to, CSCP forms requested by Energizer. Until such time as the required paperwork is completed, Seller and/or his employees may not enter the work site. This section also includes any country specific terms available under the country heading below and incorporated by this reference.
    35. PATENTS: Seller shall defend or settle, at its sole expense, any suits, proceedings and claims for infringement of any patent arising in connection with facilities constructed or worked on hereunder out of any material, equipment or combination which is designed by Seller or is a standard article of sale of Seller, and shall indemnify and save harmless Energizer from and against all Losses on account of such infringement; provided that Seller is notified promptly in writing of such claim, or of the commencement of such suit or proceeding, as the case may be, and is given authority, information and assistance for the defense or settlement thereof, and provided further that Energizer shall not settle such claim, suit or proceeding, without the written consent of Seller. Seller shall use its best efforts to obtain from each of its vendors and subcontractors who furnish to Seller for the Work any material and/or equipment which is designed by such vendor or subcontractor or is a standard article of sale of such vendor or subcontractor, a written infringement indemnity agreement, satisfactory to Energizer with respect to such materials and equipment. Seller shall in no way obligate Energizer for any royalties or license fees applicable to the Work without the prior written consent of Energizer.
    36. WAIVER: Except for changes made under Section 33 hereof, no change in, addition to or waiver of any of the Terms of a PO, any Work Release or any of the Specifications or the Drawings shall be binding upon either party, unless made in writing signed by an authorized representative of such party. 
    37. TERMINATION FOR CONVENIENCE OF ENERGIZER: Energizer may terminate a PO and all Work Releases at any time, whether or not Seller is in default, upon written notice to Seller. In such event, Energizer’s only liability shall be to pay Seller, within sixty (60) days after receipt of invoice, all amounts, costs and other charges earned under a PO prior to such termination and all amounts paid by Seller and approved by Energizer in settling and discharging outstanding purchase orders and subcontracts, less all amounts previously paid to Seller hereunder and less the amount of all claims by Energizer against Seller in connection with a PO or the Work. In the event of such termination, Seller shall promptly deliver to Energizer all such purchase orders and subcontracts which Energizer requests Seller to settle. Promptly after such termination, Seller shall assign and transfer to Energizer all of said purchase orders and subcontracts which are not so settled and discharged, all materials for which Seller has received payment hereunder and all drawings and documents furnished by Energizer to Seller in connection with the Work. Seller shall take such action as may be necessary to secure to Energizer the rights of Seller under all purchase orders and subcontracts assigned to Energizer hereunder.
    38. LABOUR: Seller shall employ, or cause to be employed, on or in connection with the performance of the PO, only persons who are fit and skilled in the work assigned. Should any disorderly, incompetent or objectionable person be employed on the Work by Seller or by any of its subcontractors, Seller shall, upon request of Energizer, cause such person to be removed from the Work. If Energizer determines that the Work was not performed in accordance with relevant standards, in addition to any other remedies available to Energizer, Seller shall, at Energizer’s option: (a) re-perform the Work; (b) reimburse Energizer for any expense incurred by Energizer to have the Work performed by a third party; or (c) reimburse Energizer for any fees or other costs incurred for such Work.

      2. HÓA ĐƠN:

Trừ khi có thỏa thuận khác bằng văn bản của Energizer và được đại diện nhóm mua sắm của Energizer chấp thuận (trước khi PO được phát hành), Energizer sẽ thanh toán hóa đơn không tranh chấp của Bên bán trong vòng sáu mươi (60) ngày kể từ ngày nhận được hóa đơn đó. Bên bán sẽ không (iv) xuất hóa đơn cho Energizer quá chín mươi (90) ngày sau khi Bên bán hoàn thành việc thực hiện theo PO (hóa đơn quá hạn đó được gọi ở đây là “Hóa đơn quá hạn”), (v) ban đầu đưa ra yêu cầu thanh toán hóa đơn đã phát hành trước đó quá 365 ngày sau ngày xuất hóa đơn (yêu cầu quá hạnđó được gọi ở đây là “Yêu cầu quá hạn”), hoặc (vi) xuất hóa đơn trước khi Bên bán hoàn thành việc thực hiện theo PO. Bên bán từ bỏ mọi quyền và biện pháp khắc phục liên quan đến Hóa đơn trễ và Yêu cầu bồi thường trễ.
        2. Nếu ngày đến hạn thanh toán của hóa đơn không rơi vào Ngày làm việc thì khoản thanh toán sẽ đến hạn vào Ngày làm việc sau ngày đến hạn. “Ngày làm việc” có nghĩa là bất kỳ ngày nào trừ thứ Bảy, Chủ Nhật hoặc bất kỳ ngày nào khác mà các ngân hàng thương mại được pháp luật cho phép hoặc yêu cầu phải đóng cửa để giao dịch tại nơi Bên bán sẽ thực hiện nghĩa vụ của mình theo PO.
        3. Hóa đơn phải được gửi qua email đến địa chỉ email hóa đơn của Energizer, địa chỉ này sẽ được ghi trên PO có liên quan hoặc được cung cấp bởi người yêu cầu dịch vụ hoặc hàng hóa.
      3. SỞ HỮU TRÍ TUỆ:
        1. “Sở hữu trí tuệ” nghĩa là bản quyền (bao gồm các quyền đối với phần mềm máy tính và quyền về kiểu chữ), bằng sáng chế, thương hiệu, tên miền, quyền đối với thiết kế, cơ sở dữ liệu, hệ thống vận hành và thông số kỹ thuật (cả đã đăng ký và chưa đăng ký), và bất kỳ đơn đăng ký nào cho các quyền nêu trên, quyền đối với sáng chế (có thể được cấp bằng sáng chế hay không), bí quyết công nghệ, bí mật thương mại và các thông tin bảo mật khác, cùng với tất cả các quyền tương ứng có tính chất tương tự ở bất kỳ nơi nào trên thế giới.
        2. Bên bán sẽ bào chữa, bảo vệ và bồi thường cho Energizer khỏi và đối với bất kỳ vụ kiện, khiếu nại, yêu cầu, điều tra, hành động của cơ quan nhà nước, tiền bồi thường thiệt hại, việc dàn xếp, hình phạt, lệnh, phán quyết, trách nhiệm pháp lý, chi phí và khoản phí (bao gồm phí luật sư) (“Tổn thất”) nào phát sinh từ hoặc liên quan đến việc vi phạm hoặc bị cáo buộc vi phạm bất kỳ quyền Sở hữu trí tuệ nào của bên thứ ba bởi bất kỳ hàng hóa hoặc dịch vụ nào được giao theo tài liệu này. Trong trường hợp Energizer bị cấm sử dụng hàng hóa hoặc dịch vụ được cung cấp theo tài liệu này, Bên bán, bằng chi phí của mình, phải kịp thời (i) đảm bảo quyền tiếp tục sử dụng hàng hóa hoặc dịch vụ cho Energizer, hoặc (ii) thay thế hàng hóa bằng hàng hóa hoặc dịch vụ không vi phạm bản quyền hoặc điều chỉnh chúng để không vi phạm bản quyền, tất cả đều do Bên bán chịu chi phí và theo sự chấp thuận của Energizer, hoặc (iii) thu hồi hàng hóa bằng chi phí của Bên bán và hoàn lại tiền theo giá mua cho Energizer.
        3. Tuân theo các quyền của Bên bán và/hoặc bất kỳ bên cấp phép thứ ba nào đối với các tài liệu đã tồn tại từ trước mà Bên bán cung cấp cùng với hàng hóa hoặc dịch vụ được giao theo tài liệu này (“Vật tư dự án”) (mà các quyền này sẽ không bị ảnh hưởng), Energizer sẽ được hưởng tất cả các quyền Sở hữu trí tuệ đối với Vật tư dự án. Bên bán phải chuyển giao các quyền Sở hữu trí tuệ này cho Energizer ngay khi tạo ra, với bảo đảm đầy đủ về quyền sở hữu. Bên bán phải thực hiện tất cả những việc đó và ký tất cả các tài liệu hoặc văn bản cần thiết hợp lý để Energizer có thể có được, bảo vệ và thực thi các quyền của mình trong Tài liệu Dự án.
        4. Mọi quyền Sở hữu trí tuệ trong bất kỳ tài liệu nào do Energizer cung cấp (“Tài liệu Energizer”) cho Bên bán liên quan đến hàng hóa hoặc dịch vụ đều thuộc về và vẫn thuộc về Energizer hoặc bên cấp phép của Energizer. Theo yêu cầu của Energizer và trong mọi trường hợp khi PO hết hạn hoặc chấm dứt, Bên bán sẽ phải chịu chi phí để nhanh chóng chuyển giao cho Energizer tất cả các bản sao của Tài liệu dự án và Tài liệu của Energizer mà Bên bán đang lưu giữ, kiểm soát hoặc sở hữu.
        5. Mục 3 này vẫn có hiệu lực sau khi PO chấm dứt hoặc hết hạn.
      4. LẮP ĐẶT VÀ THI CÔNG: Trong trường hợp bất kỳ hàng hóa hoặc dịch vụ nào yêu cầu, liên quan đến việc lắp đặt hoặc làm việc trên đó, các dịch vụ của một giám sát viên, chuyên gia hoặc người khác có liên quan hoặc được Bên bán thuê, và Bên bán đồng ý cung cấp các dịch vụ đó, có tính phí hoặc không tính phí, thì giám sát viên, chuyên gia hoặc người khác thực hiện các dịch vụ đó sẽ không được coi là đại lý hoặc nhân viên của Energizer, và Bên bán chịu toàn bộ trách nhiệm về các hành vi và thiếu sót của mình và chịu trách nhiệm độc quyền đối với bất kỳ khoản thuế tiền lương hoặc đóng góp nào được áp dụng theo bất kỳ luật liên bang, tỉnh, tiểu bang hoặc địa phương nào. Bên bán phải có được tất cả các giấy phép và sự cho phép cần thiết, đồng thời phải tuân thủ các quy định hiện hành của mọi luật hoặc sắc lệnh liên bang, tỉnh, tiểu bang hoặc địa phương, cùng tất cả các quy tắc, quy định và mệnh lệnh được ban hành theo tài liệu này. Bên bán cũng phải tuân thủ mọi điều khoản, tuyên bố hoặc thỏa thuận, hay các điều khoản hợp đồng được yêu cầu đưa vào hoặc kết hợp bằng cách viện dẫn hoặc theo quy định của pháp luật trong hợp đồng phát sinh từ việc chấp nhận một PO, và áp dụng cho hàng hóa hoặc dịch vụ, cho người lao động được sử dụng để sản xuất hàng hóa hoặc dịch vụ, và cho việc bảo vệ sức khỏe và an toàn cộng đồng, bao gồm nhưng không giới hạn ở các quy định và mệnh lệnh liên quan đến việc Bên bán xác nhận không có cơ sở phân biệt đối xử.
      5. BẢO HIỂM: Bên bán phải tự chi trả chi phí để mua và duy trì bảo hiểm trách nhiệm cần thiết, nhằm bảo vệ Bên bán và Energizer khỏi mọi khiếu nại phát sinh từ các đạo luật bồi thường cho người lao động, cũng như mọi yêu cầu bồi thường thiệt hại khác cho thương tật cá nhân (bao gồm cả tử vong) có thể xảy ra đối với người lao động, nhà thầu phụ, bất kỳ người phục vụ, đại lý, nhân viên nào của họ và công chúng nói chung. Đồng thời, bảo hiểm cũng phải chi trả cho các khiếu nại về thiệt hại tài sản mà bất kỳ đối tượng nào trong số này có thể gánh chịu, do việc thực hiện một PO. Bên bán phải cung cấp các chứng nhận mà Energizer chấp nhận, chứng minh rằng Bên bán hiện đang có các loại hình bảo hiểm sau đây. Theo yêu cầu của Energizer, Bên bán có trách nhiệm thông báo cho Energizer trước tối thiểu mười lăm (15) ngày về việc hủy bỏ hoặc thay đổi quan trọng đối với các loại bảo hiểm sau: (1) Bảo hiểm bồi thường người lao động theo luật pháp của tiểu bang và/hoặc quốc gia nơi đặt trụ sở chính của Bên bán, và bất kỳ tiểu bang và/hoặc quốc gia nào khác mà dịch vụ hoặc Công việc sẽ được thực hiện theo một PO; (2) Bảo hiểm trách nhiệm chung về thương mại theo thông lệ hợp lý và/hoặc theo yêu cầu của luật pháp tại tiểu bang và/hoặc quốc gia mà dịch vụ hoặc Công việc sẽ được thực hiện theo một PO, bao gồm trách nhiệm bồi thường thương tật thân thể, thiệt hại tài sản, thương tích cá nhân và trách nhiệm hợp đồng, bao gồm mọi hoạt động của Bên bán.
      6. BỒI THƯỜNG: Bên bán đồng ý bảo vệ, bào chữa, bồi thường, chịu mọi trách nhiệm và giữ cho Energizer, các đại lý, nhân viên, công ty con, công ty liên kết, người kế nhiệm và bên nhận chuyển giao của Energizer không bị tổn hại trước bất kỳ và tất cả các Tổn thất dưới mọi hình thức, bao gồm thương tích cơ thể, ốm đau, bệnh tật và/hoặc tử vong của bất kỳ người nào (bao gồm, nhưng không giới hạn ở, nhân viên của Energizer, của Bên bán hoặc của nhà thầu phụ) có liên quan đến việc thực hiện một PO. 
      7. BẤT KHẢ KHÁNG: Không bên nào trong tài liệu này phải chịu trách nhiệm với bên còn lại về việc không thực hiện hoặc chậm trễ thực hiện các nghĩa vụ của mình theo tài liệu này, nếu nguyên nhân là do sự kiện Bất khả kháng (bao gồm nhưng không giới hạn ở: lũ lụt, lốc xoáy, bão, động đất), hỏa hoạn, cháy nổ, bạo loạn hoặc các hình thức bất ổn dân sự khác, chiến tranh, các mối đe dọa hoặc hành động khủng bố, lệnh hoặc quy định của chính phủ hoặc tình trạng khẩn cấp quốc gia hoặc khu vực có hiệu lực sau ngày của Đơn hàng (mỗi sự kiện được gọi là “Sự kiện Bất khả kháng”). Trong trường hợp Sự kiện bất khả kháng xảy ra, bên bị ảnh hưởng phải thông báo cho bên kia, nêu rõ số ngày dự kiến Sự kiện bất khả kháng sẽ tiếp tục. Bất chấp thông báo đó, Bên bán sẽ không được miễn thực hiện các nghĩa vụ của mình theo PO cho đến khi Bên bán đã nỗ lực hết sức để thực hiện các nghĩa vụ của mình, bao gồm nhưng không giới hạn ở việc sử dụng các cơ sở trên toàn thế giới, tổng công suất của các cơ sở và giờ làm thêm của nhân viên. Trừ khi có quy định khác trong PO, Energizer sẽ được đảm bảo ưu tiên hàng đầu và có được phần chia lớn không cân xứng đối với các Sản phẩm hoặc Dịch vụ có sẵn (phần trăm sẽ được thỏa thuận giữa Energizer và Bên bán dựa trên điều kiện thị trường và đánh giá cơ hội). Trong trường hợp Bên bán không thể cung cấp đủ Sản phẩm hoặc Dịch vụ để đáp ứng các yêu cầu của Energizer theo tài liệu này do sự kiện Bất khả kháng, Energizer sẽ được miễn trừ mọi nghĩa vụ theo tài liệu này trong việc mua Sản phẩm hoặc Dịch vụ từ Bên bán trong suốt thời gian xảy ra sự kiện Bất khả kháng đó. Bất chấp những điều nêu trên, trong trường hợp bên bị ảnh hưởng không thể thực hiện nghĩa vụ của mình trong hơn ba (3) tháng hoặc dự kiến sẽ tiếp tục trong ba (3) tháng trở lên sau khi được thông báo về Sự kiện bất khả kháng, bên kia sẽ có quyền, theo quyết định riêng của mình, chấm dứt các nghĩa vụ của mình theo PO, bao gồm cả các nghĩa vụ đối với bất kỳ PO nào chưa thanh toán, sau khi thông báo kịp thời bằng văn bản, mà không bị phạt vì việc chấm dứt đó. Energizer sẽ không thanh toán cho Bên bán bất kỳ chi phí nào mà Bên bán phải chịu do lỗi hoặc sự chậm trễ đó. 
      8. BẢN VẼ VÀ CÁC VẬT PHẨM KHÁC: Trừ khi có quy định khác rõ ràng trong một PO, tất cả các bản vẽ, bản thiết kế, khuôn mẫu, mẫu rập, công cụ, bản in, thiết bị, vật tư và các hạng mục khác được sử dụng trong quá trình sản xuất hàng hóa hoặc cung cấp dịch vụ theo tài liệu này, mà do Energizer cung cấp cho Bên bán hoặc do Bên bán chuẩn bị hoặc chế tạo theo các điều khoản của một PO, sẽ là và vẫn là tài sản của Energizer. Sau khi hoàn thành việc giao hàng hóa hoặc dịch vụ theo tài liệu này, hoặc khi chấm dứt một PO, các hạng mục này phải được giao trả lại cho Energizer trong cùng tình trạng như khi Bên bán nhận ban đầu, ngoại trừ những hao mòn hợp lý. Tài sản đó và, bất cứ khi nào có thể, từng mặt hàng riêng lẻ của tài sản đó phải được Bên bán đánh dấu rõ ràng hoặc xác định đầy đủ bằng cách khác là tài sản của Energizer và phải được lưu trữ an toàn, tách biệt với tài sản của Bên bán. Bên bán không được thay thế bất kỳ tài sản nào cho tài sản của Energizer và không được sử dụng tài sản đó, trừ khi để thực hiện các PO của Energizer. Trong thời gian tài sản đó thuộc quyền quản lý hoặc kiểm soát của Bên bán, Bên bán phải chịu mọi rủi ro, phải mua bảo hiểm với chi phí của Bên bán bằng giá trị thay thế, và trong trường hợp xảy ra tổn thất, số tiền bồi thường sẽ được thanh toán cho Energizer. Bên bán không được sao chép hoặc nhân bản tài sản đó theo bất kỳ cách nào mà không có sự đồng ý trước bằng văn bản của Energizer. Không được tiết lộ bất kỳ thông tin nào liên quan đến PO, ngoại trừ thông tin được cung cấp cho nhân viên của Bên bán có liên quan trực tiếp đến công việc theo đây mà không có sự chấp thuận trước bằng văn bản của Energizer.
      9.  TUÂN THỦ LUẬT PHÁP – QUY TẮC ỨNG XỬ CỦA NHÀ CUNG CẤPPOSTĘPOWANIA DOTYCZĄCY DOSTAWCÓW.
        1. Tuân thủ luật pháp khu vực. Bên bán phải tuân thủ mọi luật lệ và quy định của địa phương và khu vực bao gồm nhưng không giới hạn ở luật, quy tắc, sắc lệnh và quy định liên quan đến lao động, sức khỏe, an toàn, môi trường, và mọi luật lệ áp dụng cho việc sản xuất, lắp ráp, bán, lưu trữ, xử lý, vận chuyển, đóng gói và dán nhãn hàng hóa, dịch vụ hoặc Công trình, đối với lao động được thuê làm Công trình và bảo vệ sức khỏe và an toàn cộng đồng. Bên bán sẽ bồi thường và bảo vệ Energizer và bên có quyền lợi tại địa điểm nơi bất kỳ phần nào của công việc đang được thực hiện khỏi mọi trách nhiệm liên quan đến hình phạt và/hoặc lãi suất có thể phát sinh do không tuân thủ bất kỳ luật, sắc lệnh và quy tắc, quy định và lệnh của chính phủ nào. Việc giao hàng hóa hoặc hoàn thành dịch vụ sẽ được coi là chứng nhận của Bên bán rằng hàng hóa đó và việc sản xuất hoặc dịch vụ của hàng hóa đó tuân thủ mọi luật hiện hành. 
        2. Quy tắc ứng xử của nhà cung cấp. Bên bán phải tuân thủ Bộ quy tắc ứng xử của nhà cung cấp (“SCOC”) do Energizer ban hành, bạn có thể xem bản sao tại đây. Trong trường hợp có bất kỳ xung đột nào giữa SCOC và các Điều khoản này, các điều khoản của SCOC sẽ được ưu tiên áp dụng. Thỉnh thoảng, Energizer có thể áp dụng SCOC mới hoặc sửa đổi các điều khoản của mẫu SCOC chuẩn và Bên bán có trách nhiệm đảm bảo tuân thủ SCOC hiện hành.
        3.  Bên bán đồng ý tuân thủ các điều khoản hiện hành của bất kỳ luật hoặc sắc lệnh liên bang, tỉnh, tiểu bang hoặc địa phương nào và tất cả các lệnh, quy tắc và quy định được ban hành theo đó, và bất kỳ điều khoản, tuyên bố hoặc thỏa thuận hoặc điều khoản hợp đồng nào được yêu cầu phải được đưa vào hoặc kết hợp bằng cách tham chiếu hoặc áp dụng luật trong PO phát sinh từ việc chấp nhận PO.
        4. Hàng hóa. Bên bán bảo đảm rằng mỗi chất hóa học cấu thành hoặc có trong hàng hóa được bán hoặc chuyển giao cho Energizer đều tuân thủ các yêu cầu được nêu trong bất kỳ luật tiểu bang hoặc khu vực hiện hành nào quản lý các chất hóa học
      10. BÙ TRỪ: Energizer có quyền bất cứ lúc nào khấu trừ bất kỳ số tiền nào mà Bên bán nợ Energizer vào bất kỳ số tiền nào mà Energizer phải trả cho Bên bán vào bất kỳ lúc nào. Quyền này được bổ sung cho bất kỳ biện pháp khắc phục nào khác đã nêu trong một PO hoặc được pháp luật quy định.
      11. ROZWIĄZANIE UMOWY: Jeżeli którakolwiek ze stron (a) zaprzestanie prowadzenia działalności gospodarczej w normalnym trybie (co obejmuje niezdolność do regulowania zobowiązań w dacie ich wymagalności) lub gdy zostanie przeciwko niej wszczęte jakiekolwiek postępowanie upadłościowe lub likwidacyjne, zostanie wniesiony wniosek o ustanowienie syndyka lub zarządcy bądź zostanie ustanowiony syndyk lub zarządca albo gdy zostanie zawarta ugoda z wierzycielami (dobrowolna lub nie) lub (b) naruszy jakikolwiek warunek Zamówienia, druga ze stron może rozwiązać Zamówienie bez zobowiązań, z wyjątkiem już zrealizowanych dostaw lub zobowiązań z tytułu towarów lub usług objętych Zamówieniem, które zostały zrealizowane na dzień rozwiązania Zamówienia, a następnie zostały dostarczone zgodnie z Warunkami Zamówienia.
      12. PRZENIESIENIE PRAW I PODWYKONAWSTWO: Wszelkie cesje lub przeniesienia Zamówienia przez Sprzedawcę bez uzyskania uprzedniej pisemnej zgody firmy Energizer będą nieważne. Sprzedawca nie zleci podwykonawstwa ani realizacji całości bądź jakiejkolwiek istotnej części Prac wymaganych na podstawie Zamówienia bez uprzedniej pisemnej zgody firmy Energizer. Sprzedawca nie zawrze żadnej umowy podwykonawstwa, o ile warunki takiej umowy dotyczące wynagrodzenia wypłacanego podwykonawcy na podstawie takiej umowy (w tym warunki dotyczące wynagrodzenia w momencie rozwiązania umowy) nie zostaną najpierw zaakceptowane przez firmę Energizer. Firma Energizer może w dowolnym momencie scedować lub przenieść wszystkie swoje prawa i obowiązki wynikające z Zamówienia.
      13. ŚRODKI PRAWNE: Prawa i środki prawne przysługujące firmie Energizer określone w Zamówieniu nie mają charakteru wyłącznego i mają zastosowanie dodatkowo oprócz wszystkich innych praw i środków prawnych wynikających z kodeksów lub przepisów prawa lub na zasadzie słuszności.
      14. PRAWO WŁAŚCIWE: Ważność, interpretacja i realizacja Zamówienia będzie podlegać prawu stanu i/lub kraju, w którym Zamówienie zostało wystawione przez firmę Energizer, z zastrzeżeniem sytuacji, gdy miejsce wystawienia jest niejasne. W takim przypadku będzie obowiązywać będzie prawo stanu lub kraju odbioru towarów przez firmę Energizer lub realizacji Prac/Usług przez Sprzedawcę. W celu uniknięcia wątpliwości w odniesieniu do niniejszej umowy nie obowiązuje konwencja Organizacji Narodów Zjednoczonych dotycząca zawierania umów na międzynarodową sprzedaż dóbr.
      15. POSTANOWIENIA RÓŻNE: Jeżeli Zamówienie stanowi ofertę, akceptacja takiego Zamówienia przez Sprzedawcę jest wyraźnie ograniczona do Warunków tego Zamówienia (oraz wszelkich dodatkowych warunków i zasad określonych we wszelkich umowach pomiędzy Sprzedawcą a firmą Energizer, o ile ma to zastosowanie, z zastrzeżeniem sytuacji, gdy warunki takiej umowy pozostają w sprzeczności z warunkami tego Zamówienia, w której obowiązują warunki umowy), a wysyłka jakiejkolwiek części towarów lub realizacja jakiejkolwiek części Prac/Usług objętych niniejszą umową będzie uznawana za wyrażenie takiej akceptacji. Jeżeli Zamówienie stanowi akceptację oferty, akceptacja taka jest wyraźnie uwarunkowana zgodą Sprzedawcy na Warunki Zamówienia, a wysyłka jakiejkolwiek części towarów lub realizacja jakiejkolwiek części Prac/Usług objętych niniejszą umową będzie uznawana za wyrażenie takiej akceptacji. Zamówienie stanowi całość umowy zawartej pomiędzy stronami w przedmiotowym zakresie i żadne ustne porozumienia, oświadczenia lub gwarancje nie mają na nią wpływu, z zastrzeżeniem jednak, że w przypadku konfliktu zastosowanie ma następująca hierarchia: warunki Umowy ramowej na dostawy lub usługi wraz z ewentualnymi załącznikami, Zamówienie, Informacje dotyczące zakresu prac, Specyfikacje i Rysunki. Żadne Warunki Zamówienia nie będą interpretowane, rozumiane, kwalifikowane, wyjaśniane lub uzupełniane w oparciu o realizację lub przebieg transakcji bądź praktyki handlowe. Zmiana Zamówienia wymaga formy pisemnej podpisanej przez obie strony. Jakiekolwiek zrzeczenie się egzekwowania praw przez jedną ze stron w przypadku naruszenia dowolnego Warunku Zamówienia przez drugą stronę nie będzie interpretowane jako zrzeczenie się egzekwowania swoich praw w przypadku kolejnych naruszeń tego samego lub innych Warunków Zamówienia. Relacja pomiędzy stronami jest relacją pomiędzy niezależnymi kontrahentami. Żadne postanowienie Zamówienia nie będzie interpretowane jako tworzące relację agencyjną, partnerską, typu joint venture, pracowniczą lub innego rodzaju relację pomiędzy stronami, a żadna ze stron nie będzie uprawniona do zawierania jakichkolwiek umów lub podejmowania jakichkolwiek zobowiązań wiążących drugą stronę.
      16. WYKORZYSTANIE SIŁY ROBOCZEJ: Sprzedawca zaświadcza, że ani Sprzedawca, ani żaden z jego dostawców nie korzysta z pracy więźniów, pracy przymusowej lub pracy pod groźbą sankcji karnych na żadnym etapie procesu wydobycia, produkcji lub wytwarzania towarów zakupi
      17. INFORMACJE POUFNE. Sprzedawca przyjmuje do wiadomości i potwierdza, że wszystkie informacje i wiedza dostarczone przez firmę Energizer na piśmie, ustnie lub dostarczone Sprzedawcy w formie kontaktu wizualnego (co obejmuje m.in. wytwarzanie produktów, projektowanie maszyn i wyposażenia oraz procesy i praktyki stosowane przez firmę Energizer lub pracę wykonywaną przez Sprzedawcę) w związku z Zamówieniem stanowią informacje poufne i zastrzeżone będące własnością firmy Energizer, których ujawnienie może zagrozić zdolności firmy Energizer do konkurowania na rynku. W związku z powyższym Sprzedawca przyjmuje do wiadomości i potwierdza, że (i) zachowa poufność wszelkich informacji tego typu i nie ujawni żadnych informacji pozyskanych przez Sprzedawcę w związku z Zamówieniem żadnej osobie trzeciej, (ii) wykorzysta te informacje jedynie w takim zakresie, w jakim jest to wymagane w celu realizacji zobowiązań wynikających z Zamówienia, oraz że (iii) oprócz innych środków prawnych, jakie mogą być dostępne, firma Energizer może ubiegać się o natychmiastowe zabezpieczenie roszczeń w drodze nakazu lub zakazu sądowego w przypadku jakiegokolwiek naruszenia niniejszej umowy, bez ograniczenia przysługujących jej innych dostępnych środków prawnych oraz bez wymogu wnoszenia kaucji.
      18. REJESTRY I KSIĘGI RACHUNKOWE: Sprzedawca zobowiązuje się do prowadzenia oraz zobowiązania swoich podwykonawców do prowadzenia prawidłowych rejestrów i ksiąg rachunkowych zawierających wszystkie dane niezbędne do ustalenia kosztów, kwot i opłat należnych na mocy Zamówienia, z uwzględnieniem poziomu szczegółowości danych wymaganego przez firmę Energizer. Ponadto Sprzedawca zobowiązuje się udostępniać takie rejestry i księgi rachunkowe do kontroli przedstawicielom firmy Energizer w dowolnym rozsądnym czasie przez okres realizacji Prac/Usług lub przed dostawą towarów oraz przez osiemnaście (18) miesięcy po wygaśnięciu Zamówienia lub wcześniejszym rozwiązaniu go w inny sposób.
      19. DODATKOWE WARUNKI DOTYCZĄCE POSZCZEGÓLNYCH KRAJÓW: Dodatkowe warunki dotyczące poszczególnych krajów, jeśli mają zastosowanie, są dostępne poniżej pod nagłówkiem z nazwą kraju i zostają włączone do niniejszej umowy przez odniesienie.
        Dodatkowe warunki dotyczące zakupu towarów
      20. JAKOŚĆ: Sprzedawca gwarantuje, że towary będą zgodne z opisem i specyfikacjami oraz że będą wolne od wad materiałowych, wykonawczych oraz projektowych (innych niż wynikające z projektu firmy Energizer). Firma Energizer jest uprawniona do przeprowadzania testów i kontroli towarów przed ich przyjęciem. Niezależnie od wyników takich testów lub kontroli, jeżeli w dowolnym momencie w którymkolwiek z towarów zostaną stwierdzone wady materiałowe, wykonawcze lub projektowe albo brak zgodności z opisem, specyfikacjami lub innymi wymogami określonymi w Zamówieniu (łącznie „Wada”), firma Energizer będzie uprawniona do odmowy przyjęcia towarów i zwrócenia ich na koszt Sprzedawcy. Sprzedawca zwróci firmie Energizer kwotę odpowiadającą kosztowi kontroli odrzuconych towarów. W odniesieniu do zakupu maszyn lub urządzeń, Sprzedawca na własny koszt naprawi lub wymieni, zgodnie z żądaniem firmy Energizer, maszyny lub urządzenia, w których stwierdzono Wadę, o ile taka Wada zostanie zgłoszona Sprzedawcy przez firmę Energizer we wcześniejszym z następujących terminów: (a) w ciągu jednego (1) roku od daty oddania maszyn lub urządzeń do eksploatacji lub (b) w ciągu osiemnastu (18) miesięcy od daty wysłania maszyn lub urządzeń przez Sprzedawcę do firmy Energizer.
      21. ILOŚĆ: O ile nie ustalono inaczej na piśmie, nie dopuszcza się żadnych odstępstw od ilości określonych w Zamówieniu. Firma Energizer może zwrócić towary wysłane w ilości większej niż określona w Zamówieniu na koszt Sprzedawcy.
      22. TRANSPORT: Transport zakupionych towarów będzie przebiegać zgodnie z warunkami Incoterms określonymi w zamówieniu. Jeżeli warunków nie określono na pierwszej stronie zamówienia, będą to warunki franco przewoźnik firmy Energizer (Incoterms 2020). Bez upoważnienia na piśmie nie będzie dozwolona dopłata za transport ani koszt ubezpieczenia. Prawo własności i ryzyko przechodzą zgodnie z terminem dostawy określonym na pierwszej stronie zamówienia, a jeśli go tam nie określono, zgodnie z warunkami Incoterms określonymi w tej części 22.
      23. DOSTAWA: Dostawa towarów zgodnie z Zamówieniem będzie stanowić potwierdzenie przez Sprzedawcę, że takie towary są zgodne z wszelkimi przepisami dotyczącymi pakowania i etykietowania. Towary będą odpowiednio zapakowane do wysyłki. Każda paczka będzie opatrzona numerem i etykietą określającą numer Zamówienia firmy Energizer, numer partii, zawartość i masę oraz będzie zawierać list przewozowy ze wskazaniem listy pozycji. Nie są dopuszczone żadne opłaty jakiegokolwiek rodzaju, w tym opłaty za pakowanie, kartony, skrzynie, koszty transportu, przyspieszoną przesyłkę ani opłaty za przewóz towarów, chyba że firma Energizer wyrazi pisemną zgodę na naliczenie takich opłat. TERMINY MAJĄ ZASADNICZE ZNACZENIE DLA REALIZACJI NINIEJSZEJ UMOWY. W przypadku niedostarczenia jakichkolwiek towarów w terminie określonym w Zamówieniu lub w rozsądnym terminie, jeśli termin nie został określony, firma Energizer może (a) odmówić odbioru takich towarów i rozwiązać Zamówienie lub (b) zobowiązać Sprzedawcę do wysłania towarów najszybszym środkiem transportu, przy czym w takim wypadku wszelkie dodatkowe koszty transportu wykraczające poza koszty zwykłych środków transportu ponosi Sprzedawca. O ile nie ustalono inaczej, cena pokrywa masę netto materiałów.
      24. ZAKUP SUBSTANCJI CHEMICZNYCH: Sprzedawca poinformuje firmę Energizer, czy według jego najlepszej wiedzy kupowane pozycje podlegają jakimkolwiek kontrolom importu lub eksportu. Sprzedawca przekaże firmie Energizer, przed wysłaniem towarów, kompletną, dokładną i zgodną ze stanem faktycznym kartę charakterystyki substancji niebezpiecznej (MSDS) dotyczącą każdej substancji chemicznej zakupionej na mocy niniejszych Warunków. Sprzedawca niezwłocznie zaktualizuje lub skoryguje kartę MSDS po otrzymaniu jakichkolwiek informacji świadczących o tym, że dana karta MSDS nie jest już kompletna, dokładna lub zgodna ze stanem faktycznym. W przypadku zaktualizowania lub skorygowania przez Sprzedawcę karty MSDS przekazanej wcześniej firmie Energizer Sprzedawca niezwłocznie wyśle firmie Energizer zaktualizowaną lub poprawioną kartę MSDS.Dodatkowe warunki dotyczące zakupu usług
      25. ZWOLNIENIE Z ODPOWIEDZIALNOŚCI: Oprócz zwolnienia z odpowiedzialności zawartego w części Informacje ogólne Sprzedawca zobowiązuje się chronić, zabezpieczyć przed roszczeniami i zwolnić firmę Energizer, jej agentów, pracowników, spółki zależne i stowarzyszone, następców prawnych i cesjonariuszy z wszelkiej odpowiedzialności z tytułu jakichkolwiek Strat powstałych w wyniku Prac lub wykonywania lub niewykonania Prac bądź w związku z obecnością rzeczonej osoby na terenie firmy Energizer lub terenie realizacji Prac, w związku z Pracami, w wyniku zaniedbania Sprzedawcy, winy umyślnej albo naruszenia gwarancji lub oświadczenia zawartych w niniejszych Warunkach. W przypadku gdy dane Zamówienie przewiduje realizację Prac na terenie stanowiącym własność lub podlegającym kontroli podmiotów innych niż firma Energizer, powyższe zobowiązanie do obrony, zwolnienia z odpowiedzialności i zabezpieczenia zostanie rozszerzone o takie podmioty, ich pracowników i agentów. Sprzedawca ponosi i niniejszym przyjmuje odpowiedzialność z tytułu wszelkich strat lub uszkodzeń wszystkich narzędzi, maszyn, urządzeń i przyrządów stanowiących własność Sprzedawcy, przez niego wypożyczonych lub dzierżawionych od podmiotu innego niż firma Energizer, jak i wszelkiej własności osobistej pracowników Sprzedawcy. W zakresie, w jakim jest to ważne i wykonalne na mocy stosownych przepisów, powyższe zwolnienie z odpowiedzialności iodpowiedzialności prawnej obejmuje stratę, uszkodzenie lub zniszczenie spowodowane zaniedbaniem, w jakikolwiek sposób z nim związane lub wynikające, w całości lub w części, z zaniedbania po stronie firmy Energizer, jakiegokolwiek podmiotu będącego właścicielem terenu lub kontrolującego teren, na którym realizowana jest dowolna część Prac, lub któregokolwiek z ich pracowników, agentów lub podmiotów zależnych. Postanowienie to pozostaje w mocy niezależnie od rozwiązania Zamówienia w dowolny sposób
      26. PRACE: Na Warunkach zawartych w niniejszym dokumencie firma Energizer niniejszym zleca, a Sprzedawca, będący niezależnym wykonawcą, niniejszym zobowiązuje się wykonać i ukończyć, wszelkie prace określone w Zamówieniu lub, w przypadku gdy Zamówienie nie zostało wypełnione — w informacjach dotyczących zakresu prac, przekazanych Sprzedawcy przez Upoważnionego przedstawiciela firmy Energizer, wyznaczone do wykonania w okresie objętym Zamówieniem (w dalszej części prace te są określane jako „Prace”). O ile w Zamówieniu nie wskazano inaczej, Sprzedawca zapewnia siłę roboczą, materiały, narzędzia, maszyny, urządzenia, przyrządy, zabezpieczenie ścian wykopu, rusztowania, konstrukcje wsporcze, transport i wszelkie inne elementy niezbędne do realizacji Prac. Szczegóły Zamówienia, w tym opis Prac, daty rozpoczęcia i zakończenia, rysunki i specyfikacje, kategorie pracowników oraz stawki, jak i teren realizacji Prac określono poniżej, na pierwszej stronie lub w dokumencie uzupełniającym przekazanym przez firmę Energizer. Sprzedawca przyjmuje do wiadomości i zgadza się na to, że w odniesieniu do zobowiązań Sprzedawcy czas ma zasadnicze znaczenie i
      27. KONTROLA SPRZEDAWCY: Uznaje się, że Sprzedawca dokonał kontroli wszelkich Specyfikacji i Rysunków odnoszących się do każdej Informacji dotyczących zakresu prac oraz terenu realizacji części Prac objętych daną Informacją dotyczącą zakresu prac przed rozpoczęciem realizacji jakichkolwiek prac wynikających z danej Informacji dotyczącej zakresu prac, i że jest usatysfakcjonowany w związku z warunkami, w jakich będzie zobowiązany pracować nad realizacją danej części Prac, w tym między innymi utrudnieniami naziemnymi, rodzajem i charakterem danej części Prac, przepisami w zakresie bezpieczeństwa i innymi względami, które mogą w jakikolwiek sposób wpływać na daną część Prac. W związku z powyższymi czynnikami Sprzedawca nie otrzyma żadnego dodatkowego wynagrodzenia ani nie zostanie przyznane żadne przedłużenie terminu.
      28. GODZINY NADLICZBOWE: O ile w Zamówieniu nie określono inaczej, „Praca w godzinach nadliczbowych” oznacza wszystkie godziny przepracowane na osobę, za które należna jest — zgodnie ze stosowną praktyką handlową, umową ze związkiemzawodowym lub stosownymi przepisami — zapłata według podwyższonej stawki godzinowej, wynoszącej nie mniej niż półtorej podstawowej stawki godzinowej należnej za wykonywaną pracę. Sprzedawca nie będzie wykonywać Pracy w godzinach nadliczbowych, chyba że firma Energizer na piśmie zwróci się o wykonanie takiej pracy i wyrazi na nią pisemną zgodę, lub w przypadku gdy taka praca jest konieczna w związku z charakterem Prac, oraz wykona wszelkie prace w godzinach nadliczbowych, o wykonanie których firma Energizer zwróciła się na piśmie lub na wykonanie których wyraziła pisemną zgodę. Firma Energizer zapłaci Sprzedawcy za taką Pracę w godzinach nadliczbowych zgodnie z postanowieniami Zamówienia dotyczącymi określania stawek należnych za Pracę w godzinach nadliczbowych. Sprzedawca zapłaci należne wynagrodzenie za godziny nadliczbowe swoim pracownikom zgodnie ze stosownymi przepisami.
      29. GWARANCJE: Sprzedawca gwarantuje, że wszystkie materiały i urządzenia włączone w wyniki Prac (z wyjątkiem materiałów i urządzeń przekazanych przez firmę Energizer) i każda część Prac są zgodne z warunkami Zamówienia, stosowną Informacją dotyczącą zakresu prac oraz Specyfikacjami i Rysunkami, charakteryzują się najwyższą jakością, są odpowiednie do założonego celu i nie zawierają żadnych wad materiałowych ani wykonawczych do chwili upływu jednego (1) roku od kończenia części Prac objętych Informacją dotyczącą zakresu prac, która odnosi się do takich materiałów, urządzeń lub części Prac.
      30. PRAWO WŁASNOŚCI: Prawo własności do poszczególnych materiałów i urządzeń przekazanych do włączenia w wyniki Prac, które nie stanowią jeszcze własności firmy Energizer, przechodzi na firmę Energizer z chwilą dostarczenia takich materiałów i urządzeń na teren realizacji Prac.
      31. ZASTAWY: Sprzedawca zabezpieczy firmę Energizer i każdy podmiot mający udział w miejscu, gdzie wykonywana jest dowolna część prac, i zwolni ich z odpowiedzialności z tytułu wszelkich zastawów zabezpieczających płatności na rzecz pracowników, mechaników lub dostawców materiałów, jak i wszelkich innych zastawów lub opłat związanych z Pracami, wynikających z wykonanych prac bądź materiałów lub urządzeń przekazanych na mocy niniejszych Warunków przez Sprzedawcę, dostawcę lub podwykonawcę.
      32. ODPADY I INNE MATERIAŁY: Sprzedawca nie dopuści do składowania materiałów stanowiących odpady lub śmieci na terenie realizacji Prac lub w jego okolicy oraz niezwłocznie usunie je z terenu własności firmy Energizer w sposób zgodny ze stosownymi przepisami, zasadami i regulacjami. Sprzedawca na własny koszt odpowiednio osłoni i zabezpieczy materiały przechowywane na zewnątrz przez czas realizacji Prac, aby zapobiec uwolnieniu lub wyciekowi jakichkolwiek substancji do środowiska.
      33. ZMIANY: Firma Energizer może, w drodze pisemnego powiadomienia przekazywanego Sprzedawcy, wprowadzić zmiany do Specyfikacji lub Rysunków, wydać dodatkowe instrukcje, żądać dodatkowych prac lub zlecić zaniechanie prac bez wpływu na Zamówienie, a Sprzedawca dostosuje się do takiego powiadomienia. Firma Energizer zapłaci Sprzedawcy za wprowadzenie zmian wynikających ze wspomnianego powiadomienia zgodnie z postanowieniami Zamówienia dotyczącymi ustalania kwot, kosztów i opłat. Firma Energizer nie zapłaci za żadne dodatkowe prace, o ile nie zostaną one wykonane zgodnie z pisemnym powiadomieniem firmy Energizer.
      34. BEZPIECZEŃSTWO: Sprzedawca będzie przestrzegać i zobowiąże swoich pracowników i wszystkich podwykonawców do przestrzegania wszystkich zasad i regulacji w zakresie zdrowia i bezpieczeństwa obowiązujących na terenie realizacji Prac. Sprzedawca rozumie, że może korzystać z upoważnienia wynikającego z wydania Zamówienia wyłącznie pod warunkiem, że Sprzedawca zapoznał się z wszystkimi formularzami i dokumentami, w tym między innymi formularzami CSCP wymaganymi przez firmę Energizer, wypełnił je i podpisał. Do chwili uzupełnienia wszystkich dokumentów Sprzedawca ani jego pracownicy nie mogą uzyskać dostępu do terenu prac. W niniejszym punkcie zawarto również wszelkie warunki dotyczące poszczególnych krajów dostępne poniżej pod nagłówkiem z nazwą kraju i włączone do niniejszej umowy przez odniesienie.
      35. PATENTY: Sprzedawca na własny koszt będzie bronić lub zawrze ugodę w zakresie wszelkich pozwów, postępowań i roszczeń z tytułu naruszenia jakiegokolwiek patentu w związku z budowanymi obiektami lub obiektami, których dotyczą prace podlegające niniejszym Warunkom, oraz wszelkimi materiałami, urządzeniami lub połączeniami zaprojektowanymi przez Sprzedawcę lub stanowiącymi standardową pozycję sprzedawaną przez Sprzedawcę, jak również zabezpieczy firmę Energizer i zwolni ją z odpowiedzialności z tytułu wszystkich Strat wynikających z takiego naruszenia, pod warunkiem że Sprzedawca zostanie niezwłocznie powiadomionye powiadomiony na piśmie o takim roszczeniu lub wniesieniu takiego pozwu bądź wszczęciu postępowania, stosownie do przypadku, i że zostaną mu udzielone uprawnienia, informacje i wsparcie do celów obrony lub zawarcia ugody w takim zakresie, a także pod warunkiem że firma Energizer nie zawrze ugody w zakresie takiego roszczenia, pozwu ani postępowania bez pisemnej zgody Sprzedawcy. Sprzedawca dołoży wszelkich starań, by otrzymać od każdego z dostawców i podwykonawców, którzy dostarczają Sprzedawcy wszelkie materiały lub urządzenia na potrzeby realizacji Prac, zaprojektowane przez danego dostawcę lub podwykonawcę albo stanowiące standardową pozycję sprzedawaną przez takiego dostawcę lub podwykonawcę, pisemną umowę zwolnienia z odpowiedzialności z tytułu naruszenia, która satysfakcjonuje firmę Energizer w odniesieniu do takich materiałów i urządzeń. Sprzedawca w żaden sposób nie zobowiązuje firmy Energizer do zapłaty tantiem ani opłat licencyjnych odnoszących się do Prac bez uzyskania uprzedniej pisemnej zgody firmy Energizer.
      36. ODSTĄPIENIE: Z wyjątkiem zmian wprowadzonych na mocy punktu 33 niniejszych Warunków, żadna zmiana, dodanie ani odstąpienie od któregokolwiek z Warunków Zamówienia, jakiejkolwiek Informacji dotyczącej zakresu prac lub jakichkolwiek Specyfikacji lub Rysunków nie będzie wiążąca dla żadnej ze stron, chyba że zostanie wprowadzona na piśmie i podpisana przez upoważnionego przedstawiciela takiej strony.
      37. ROZWIĄZANIE BEZ WSKAZANIA PRZYCZYNY PRZEZ FIRMĘ ENERGIZER: Firma Energizer może rozwiązać Zamówienie i wszystkie Informacje dotyczące zakresu prac w dowolnym momencie, niezależnie od tego, czy Sprzedawca dotrzymuje warunków umowy, czy też nie, po przekazaniu Sprzedawcy pisemnego powiadomienia. W takim przypadku firma Energizer będzie zobowiązana jedynie do zapłaty na rzecz Sprzedawcy, w ciągu sześćdziesięciu (60) dni od otrzymania faktury, wszelkich kwot, kosztów i innych opłat naliczonych na mocy Zamówienia do chwili takiego rozwiązania oraz wszelkich kwot zapłaconych przez Sprzedawcę i zatwierdzonych przez firmę Energizer w związku z rozliczaniem i spłatą zaległych zamówień i umów podwykonawstwa, pomniejszonych o wszystkie kwoty zapłacone wcześniej na rzecz Sprzedawcy na mocy niniejszych Warunków oraz o kwoty wszystkich roszczeń wniesionych przez firmę Energizer wobec Sprzedawcy w związku z Zamówieniem lub Pracami. W przypadku takiego rozwiązania Sprzedawca niezwłocznie przekaże firmie Energizer wszystkie takie zamówienia i umowy podwykonawstwa, których rozliczenia wymaga od niego firma Energizer. Niezwłocznie po takim rozwiązaniu umowy Sprzedawca sceduje i przeniesie na firmę Energizer wszystkie rzeczone zamówienia i umowy podwykonawstwa, które nie zostały rozliczone i spłacone, wszystkie materiały, za które Sprzedawca otrzymał zapłatę na mocy niniejszych Warunków, oraz wszystkie rysunki i dokumenty przekazane Sprzedawcy przez firmę Energizer w związku z Pracami. Ponadto Sprzedawca podejmie działania niezbędne do zabezpieczenia firmie Energizer praw Sprzedawcy wynikających z zamówień i umów podwykonawstwa przeniesionych na firmę Energizer na mocy niniejszych Warunków.
      38. SIŁA ROBOCZA: Sprzedawca zatrudni lub zleci zatrudnienie na potrzeby realizacji Zamówienia lub w związku z nim wyłącznie odpowiednie osoby, które posiadają stosowne kwalifikacje do realizacji wskazanych prac. W przypadku gdy Sprzedawca lub którykolwiek z jego podwykonawców zatrudni do realizacji Prac jakąkolwiek osobę niedbałą, niekompetentną lub budzącą zastrzeżenia, Sprzedawca, na wniosek firmy Energizer, doprowadzi do wyłączenia takiej osoby z realizacji Prac. Jeżeli firma Energizer stwierdzi, że Prace nie zostały wykonane zgodnie ze stosownymi normami, obok innych środków przysługujących firmie Energizer Sprzedawca jest zobowiązany, według uznania firmy Energizer, do: (a) ponownego wykonania Prac, (b) zwrócenia firmie Energizer wszystkich kosztów poniesionych przez firmę Energizer na potrzeby realizacji Prac przez podmiot zewnętrzny lub (c) zwrócenia firmie Energizer wszystkich opłat i innych kosztów poniesionych na potrzeby realizacji takich Prac
